TERMS OF SERVICE

IMPORTANT: PLEASE READ THESE TERMS OF SERVICE ("TERMS") CAREFULLY. THESE TERMS CONSTITUTE A BINDING LEGAL AGREEMENT BETWEEN YOU (THE "STUDENT" OR "USER") AND BLACKWELL RESEARCH INSTITUTE ("THE COMPANY," "WE," "US"). BY ENROLLING IN OUR PROGRAM OR USING ANY OF OUR SERVICES, YOU EXPRESSLY AGREE TO BE BOUND BY THESE TERMS, INCLUDING OUR STRICT NO-REFUND POLICY. IF YOU ARE UNDER THE AGE OF 18, YOUR PARENT OR LEGAL GUARDIAN MUST REVIEW AND ACCEPT THESE TERMS ON YOUR BEHALF.

1. PROGRAM DESCRIPTION
Blackwell Research Institute (the “Company”) provides a comprehensive academic research and mentorship program (the "Program") for high school students. The Program includes structured guidance, instructional support, and project supervision to facilitate the completion of an independent research paper with the potential for submission to an academic journal.
This is a non-credit-bearing educational enrichment experience. The Company makes no guarantees of journal publication, university admission, academic recognition, or career advancement.

2. ELIGIBILITY REQUIREMENTS
Participants must:
Be actively enrolled in high school or an equivalent home-education program;
Have access to reliable internet, a computer, and standard educational tools (e.g., Google Docs, Zoom);
Provide accurate contact and payment information;
Submit full payment in accordance with the Program’s tuition schedule.
The Company reserves the absolute right to deny admission to or remove any student for any reason, including but not limited to misrepresentation, violation of these Terms, or lack of program readiness.

3. FEES, PAYMENT TERMS, AND NO REFUND POLICY
3.1 Tuition Payment
All Program fees must be paid in full prior to the start of any services. Payment is required to reserve your limited enrollment seat. Late or partial payments may result in loss of placement.
3.2 Non-Refundable and Non-Transferable
All payments made to Blackwell Research Institute are strictly non-refundable and non-transferable. Under no circumstances—including but not limited to withdrawal, expulsion, dissatisfaction, personal emergencies, scheduling conflicts, or failure to complete the Program—will refunds or credit be issued.
3.3 No Chargebacks or Reversals
By enrolling, you irrevocably waive the right to dispute payments or initiate chargebacks with your financial institution. Any such action constitutes a material breach of this Agreement. We reserve the right to take legal action, report delinquent accounts to credit bureaus, and recover fees via third-party collection services.

4. PROGRAM STRUCTURE AND FLEXIBILITY
We aim to provide a high-quality and tailored mentorship experience. However, you acknowledge and agree that:
The Company may assign or reassign tutors at its sole discretion.
Session times, frequency, and length are subject to availability and mentor scheduling.
You are solely responsible for meeting deadlines and attending scheduled sessions.
The Company may adapt the Program's curriculum, platform, or delivery method as it sees fit to enhance student outcomes.

5. STUDENT CONDUCT, RESPONSIBILITIES, AND ACADEMIC INTEGRITY
By enrolling in the Program, you agree to:
Maintain consistent communication and complete all required work in a timely fashion;
Treat mentors, staff, and fellow students with professionalism and respect;
Refrain from the use of plagiarism, ghostwriting, unauthorized AI tools, or academic dishonesty of any kind;
Honor all deadlines and mentorship session policies, including cancellation notices.
Violations of academic integrity or disruptive behavior will result in immediate termination from the Program without refund.

6. INTELLECTUAL PROPERTY AND PROMOTIONAL LICENSE
Students retain copyright over original research. However, by enrolling, you grant the Company a perpetual, irrevocable, royalty-free, worldwide license to:
Archive your work for educational and compliance purposes;
Use anonymized excerpts, titles, or project descriptions in promotional materials, websites, social media, or reports;
Retain a copy of your work in the Program’s academic repository.
The Company will seek consent before using personally identifiable student information in external-facing materials.

7. PUBLICATION DISCLAIMER
The Company assists in preparing student work for submission to appropriate journals but does not guarantee acceptance. The publication process is governed by external third parties with independent editorial standards.
The Company bears no liability for:
Journal decisions, peer review feedback, or rejection outcomes;
Delays in response or formatting guidelines from publication venues.

8. ACCESS AND TECHNOLOGY REQUIREMENTS
Students are responsible for:
Ensuring continuous access to a reliable internet connection;
Having updated versions of required software and tools (e.g., Google Drive, Zoom);
Troubleshooting any personal technology issues in a timely manner.
The Company is not responsible for missed sessions or delays caused by technical difficulties on the user’s end.

9. NO WARRANTIES OR GUARANTEES
All services are provided “as is” and “as available.”
The Company disclaims all warranties—express or implied—including but not limited to merchantability, fitness for a particular purpose, or academic results. The Company does not warrant that:
Student work will be published;
College or internship placement will improve;
Mentorship will result in specific deliverables or outcomes.
Participation in the Program does not create any academic transcript or transferable credential.

10. TERMINATION POLICY
Blackwell Research Institute reserves the right to:
Remove any student from the Program at any time due to conduct violations, failure to participate, or breach of Terms;
Discontinue or reschedule sessions without notice if warranted by staff illness, safety concerns, or other operational factors.
No refunds or credits will be issued for students who are terminated, voluntarily withdraw, or cease participation.

11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Blackwell Research Institute, its affiliates, directors, contractors, and employees from all claims, liabilities, losses, damages, or costs (including reasonable legal fees) resulting from your breach of these Terms or use of the Program.

12. LIMITATION OF LIABILITY
To the maximum extent permitted by law, the total liability of the Company for any claim arising out of or relating to this Agreement shall not exceed the amount paid by the student for Program enrollment.
In no event shall the Company be liable for any indirect, special, incidental, or consequential damages, including but not limited to academic consequences or reputational harm.

13. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of the State of [Insert State], without regard to conflict-of-law principles. Any disputes arising out of or relating to this Agreement shall be resolved by binding arbitration in [Insert County/State], administered by the American Arbitration Association under its rules. The decision of the arbitrator shall be final and binding.
You waive any right to trial by jury or participation in class actions.
14. MODIFICATIONS TO TERMS
We may revise these Terms at any time. All updates will be posted on our official website. Continued use of the Program after modifications constitutes acceptance of the new Terms.

15. ENTIRE AGREEMENT
These Terms represent the full and exclusive agreement between the parties and supersede all prior communications or representations, whether oral or written. If any provision is deemed invalid, the remainder shall continue in effect.

BY PURCHASING OR ACCESSING THIS PROGRAM, YOU AND/OR YOUR PARENT OR LEGAL GUARDIAN ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND UNCONDITIONALLY AGREED TO THESE TERMS OF SERVICE.
